Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ChurchAI platform and related services (the "Services") provided by ChurchStream Corp, doing business as ChurchAI ("ChurchAI," "we," "us," or "our"). By creating an account, accessing, or using the Services, you ("Organization," "you," or "your") agree to these Terms. If you do not agree, do not use the Services.

1. Description of Services

ChurchAI provides a church management and engagement platform, including contact and member management, communications, analytics and AI-assisted insights, and online giving and payment processing. Online giving is processed through our third-party payment processor, Finix. Your use of payment features is also subject to Finix's applicable merchant terms, which you accept during onboarding.

2. Eligibility and Accounts

You must be a legally recognized organization and authorized to bind that organization to these Terms. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. You are responsible for the conduct of your authorized users.

3. Online Giving and Payment Processing

a. Processor. Payments are processed by Finix. To accept giving, you must complete merchant onboarding and underwriting and be approved by Finix.

b. Fees. Processing and platform fees are described in our Fee Schedule at churchai.com/giving/fees, which is incorporated into these Terms. Fees may change with notice as permitted by applicable law and our agreements with our processor.

c. Payouts and Settlement. Approved funds are settled and paid out to the bank account you designate, subject to processor timelines and any holds, reserves, or reviews.

d. Refunds, Chargebacks, and Disputes. You are responsible for refunds you authorize and for amounts associated with chargebacks and disputes, including related fees.

e. Tax and Receipts. You are solely responsible for the tax treatment of contributions and for issuing any donor receipts or acknowledgments required by law.

f. Compliance. You agree to comply with all applicable laws, card network rules, and processor requirements, including PCI DSS obligations applicable to you.

4. Donor and Personal Data

Your collection and use of donor and member information through the Services is subject to our Privacy Policy at churchai.com/privacy. You represent that you have the necessary rights and consents to provide personal information to us and to have it processed through the Services.

5. Acceptable Use

You agree not to misuse the Services, including by: violating any law or third-party right; uploading unlawful, infringing, or harmful content; attempting to gain unauthorized access; interfering with the Services' operation; or using the Services to process payments unrelated to your organization's legitimate activities.

6. AI Features

Certain features use artificial intelligence to generate insights, suggestions, and content. AI output may be inaccurate or incomplete and is provided for assistance only. It is not professional, legal, financial, or tax advice. You are responsible for reviewing AI output before relying on or acting on it.

7. Third-Party Services

The Services integrate with third-party providers (for example, payment, communications, and church management systems). Your use of those providers is governed by their own terms, and we are not responsible for third-party services.

8. Platform Fees and Billing

Where applicable, platform subscription fees, messaging credits, and other charges are billed as described at sign-up or in your order. Charges are non-refundable except as required by law or expressly stated.

9. Term and Termination

These Terms remain in effect while you use the Services. Either party may terminate as described in your plan or order, or immediately for material breach. We may suspend or terminate access if required for security, legal, or processor-compliance reasons. Certain obligations survive termination, including fees owed, liability, and dispute resolution.

10. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

11. Limitation of Liability

To the fullest extent permitted by law, ChurchAI will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid to ChurchAI for the Services in the twelve months before the claim.

12. Indemnification

You agree to indemnify and hold harmless ChurchAI and its affiliates from claims, losses, and expenses arising from your use of the Services, your content or data, or your violation of these Terms or applicable law.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a revised Effective Date, and your continued use of the Services after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes not subject to arbitration, if any.
